Legal terms and conditions for using Indiebooks

Important Notice

Please read these terms carefully. By accessing or using the Indiebooks platform (the "Service"), you agree to be bound by these terms. If you do not agree, do not use the service.

These terms contain provisions that limit liability and require arbitration of disputes, and include a class action waiver. Review carefully.

1. Introduction

These Terms of Service (this "Agreement" or these "Terms") are a legally binding contract between you (an individual or legal entity that registered for or uses the Service — "you", "your", or "User") and Indiebooks Inc. ("Indiebooks", "we", "us" or "our"). They govern your access to and use of https://indiebooks.io and any related websites, mobile apps, APIs, integrations and other services provided by Indiebooks (collectively, the "Service").

This Agreement includes and incorporates Indiebooks' Privacy Policy and any additional policies posted by Indiebooks that reference these Terms. If there is a conflict, these Terms control unless the additional policy expressly states otherwise.

2. Definitions

  • Account: Your account with Indiebooks used to access the Service.
  • User Content: Any data, files, documents, text, images, financial records, invoices, receipts, or other content you or your end users upload, store, or transmit through the Service.
  • Subscription: A paid or free plan that grants access to specified features of the Service.
  • Third-Party Service: Any third-party software, service, payment processor, or integration (e.g., Stripe, Plaid, accounting connectors) used in connection with the Service.
  • Confidential Information: Non-public information disclosed by one party to the other in connection with the Service and identified as confidential.

3. Eligibility and Account Registration

3.1 Eligibility

You must be of legal age and have the power to form a binding contract to use the Service. By creating an Account you represent that you meet these requirements.

3.2 Registration

You agree to provide accurate, current and complete information during registration and to update such information to keep it accurate. Indiebooks may suspend or terminate Accounts that provide false information.

3.3 Account Security

You are responsible for maintaining the confidentiality of your Account credentials and are fully responsible for all activities that occur under your Account. You must notify Indiebooks immediately if you suspect unauthorized access.

3.4 Authorized Use

If you register on behalf of an entity, you represent that you have the authority to bind that entity to these Terms.

4. The Service

4.1 What We Provide

Indiebooks offers cloud bookkeeping and accounting tools for small businesses and self-employed persons, including:

  • • Transaction tracking and categorization
  • • Tax calculation assistance (GST/HST/PST/QST and U.S. sales tax estimates)
  • • Professional invoicing and receipt capture
  • • Financial reporting and record-keeping

4.2 Evolution of Service

We may add, change, discontinue, or remove features at any time. We may also provide Beta or experimental features which are subject to additional terms or limitations.

4.3 Third-Party Integrations

The Service may integrate with third-party services (e.g., banks, payment processors, accounting software). Use of those services may require separate agreements with the third-party provider. Indiebooks is not responsible for third-party services and does not control their terms, privacy practices, or availability.

5. User Responsibilities and Acceptable Use

5.1 Compliance and Accuracy: You are solely responsible for:

  • • The content you enter into the Service
  • • The accuracy of your financial records
  • • Verifying tax calculations before filing
  • • Complying with applicable tax, accounting, and business laws

Indiebooks is a tool and is not a substitute for professional advice.

5.2 Acceptable Use

You will not use the Service to upload, transmit, or otherwise make available any illegal, infringing, defamatory, obscene, or otherwise objectionable content. You will not use the Service to facilitate fraud, money laundering, or other illegal activity.

5.3 Prohibited Conduct

Without limiting the generality of the foregoing, you agree not to:

  • • Attempt to reverse engineer, decompile, or otherwise extract source code or structure from the Service
  • • Interfere with or disrupt the integrity or performance of the Service
  • • Attempt to gain unauthorized access to any other accounts, computer systems, or networks connected to the Service
  • • Use bots, spiders, scrapers, or automated means to access or collect data from the Service except via provided APIs under explicit terms
  • • Remove or modify Indiebooks' logos, trademarks, or legal notices

5.4 User Conduct toward Others

If the Service introduces you to or allows you to contact third parties (including users of the Service), you must treat them lawfully and respectfully.

6. User Content and Data Ownership

6.1 Ownership

You retain ownership of the User Content you upload to the Service. Indiebooks acquires no ownership rights in your User Content by virtue of these Terms.

6.2 License to Host and Operate

By uploading User Content, you grant Indiebooks a worldwide, non-exclusive, royalty-free license to use, copy, store, transmit, display, and perform the User Content solely as necessary to provide, maintain, and operate the Service, and to improve the Service (including for analytics and machine learning purposes) in anonymized or aggregated form.

6.3 Data Portability

You may export your User Content and data using the Service's export tools. You are responsible for regularly exporting backups of data you consider critical.

6.4 Retention and Deletion

We will retain User Content as described in our Privacy Policy. After account termination or deletion you may have a limited window to export your data. We may permanently delete data after that window ends.

6.5 User Representations

You represent and warrant that you have all necessary rights and permissions to upload and use the User Content and that doing so does not violate any law, third-party right, or contractual obligation.

7. Privacy and Data Protection

Our Privacy Policy governs how we collect, use, and disclose personal information. By using the Service you consent to those practices. If you process personal data of others while using the Service, you are responsible for complying with applicable data protection laws and for obtaining any required consents.

International Transfers: Data may be stored and processed in Canada, the U.S., or other countries. By using the Service you consent to such transfers.

Data Processing Addendum (DPA): For customers processing personal data subject to EU data protection laws, a DPA is available upon request.

8. Payment, Billing, and Taxes

8.1 Plans & Pricing

Indiebooks may offer free and paid Subscription plans. Plan features, pricing, and billing cycles are described on our pricing page. We reserve the right to change pricing for new users or future billing periods.

8.2 Billing & Authorization

For paid Subscriptions you authorize Indiebooks (or Indiebooks' payment processor) to charge the payment method you provide. You must provide accurate billing details.

8.3 Taxes

You are responsible for all taxes (including sales, use, VAT, GST/HST, PST/QST, and similar taxes) associated with your account, except for taxes based on Indiebooks' income. Indiebooks may collect taxes at checkout where required.

8.4 Auto-Renewal

Paid Subscriptions automatically renew at the then-current rate unless cancelled prior to renewal. Changes in subscription tier may be effective immediately or at the next billing cycle, depending on the feature and billing model.

8.5 Refunds; Chargebacks

Unless otherwise stated at the time of purchase, fees are non-refundable. If you dispute a charge through your bank or card issuer (a chargeback) you must notify Indiebooks and follow our dispute process. Repeated chargebacks may result in account suspension.

8.6 Failure to Pay

If your payment method fails or becomes invalid, Indiebooks may suspend access to paid features until payment is made. Indiebooks may also engage collection services for unpaid amounts.

9. Free Trials, Promotions, and Discounts

Free trials and promotional offers may be made available at Indiebooks' discretion. Unless otherwise provided, free trials convert to paid Subscriptions at the end of the trial period and your payment method will be charged. You must cancel prior to the end of the trial to avoid charges.

10. Security

10.1 Measures

Indiebooks implements commercially reasonable administrative, physical, and technical safeguards designed to protect User Content. These may include encryption in transit and at rest, access controls, and other industry-standard controls. Learn more on our Security page.

10.2 No Absolute Security Guarantee

Despite our efforts, no system is completely secure. Indiebooks does not guarantee that User Content will be immune from unauthorized access or loss.

10.3 Security Incidents

In the event of a confirmed security breach affecting personal data, Indiebooks will investigate and notify affected account holders as required by law and our internal policies.

11. Backups and Reliability

You are responsible for maintaining backups of your User Content. While Indiebooks may provide backups or replication, the Service should not be relied upon as the sole storage location for mission-critical data.

12. Intellectual Property

12.1 Indiebooks IP

The Service and all intellectual property rights in the Service, including software, code, designs, user interface, trademarks, and documentation (the "Platform IP"), are owned by Indiebooks or its licensors.

12.2 Limited License to Users

Subject to these Terms and payment of all applicable fees, Indiebooks grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

12.3 Restrictions

You may not (and may not permit others to) copy, modify, create derivative works of, distribute, sell, sublicense, or otherwise exploit any portion of the Service, except as expressly permitted by these Terms.

12.4 Feedback

You may provide feedback, suggestions, or ideas regarding the Service ("Feedback"). By submitting Feedback, you grant Indiebooks a perpetual, irrevocable, royalty-free license to use and incorporate such Feedback without restriction or obligation.

13. Confidentiality

13.1 Obligations

Each party agrees to protect the other's Confidential Information using reasonable care and not to disclose it to third parties except as required by law or to fulfill the purpose of these Terms.

13.2 Exclusions

Confidential Information does not include information that is or becomes public through no fault of the receiving party, was lawfully received from another source without restriction, or was independently developed without reference to the disclosing party's information.

14. Termination

14.1 By You

You may terminate your Account at any time through your account settings or by contacting support.

14.2 By Indiebooks

We may suspend or terminate your access to the Service if you violate these Terms, fail to pay applicable fees, or if your use poses a security or legal risk.

14.3 Effect of Termination

Upon termination, your right to access the Service ceases. You must immediately cease all use of the Service and delete any copies of Indiebooks software or materials.

14.4 Survival

Sections concerning payment obligations, intellectual property, confidentiality, disclaimers, limitation of liability, and governing law will survive termination.

15. Disclaimers

15.1 No Professional Advice

The Service provides bookkeeping automation and financial tools but does not constitute accounting, tax, or legal advice. Always consult qualified professionals for such matters.

15.2 As-Is Basis

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". Indiebooks disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

15.3 Third-Party Links

Indiebooks is not responsible for content or services of third-party sites linked through the Service.

16. Limitation of Liability

16.1 Indirect Damages

To the maximum extent permitted by law, Indiebooks shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

16.2 Cap on Liability

Indiebooks' total liability for any claim under these Terms shall not exceed the greater of (a) the amount paid by you to Indiebooks during the 12 months preceding the event or (b) $100 USD.

16.3 Basis of the Bargain

These limitations form an essential basis of the agreement between you and Indiebooks.

17. Indemnification

You agree to indemnify, defend, and hold harmless Indiebooks, its affiliates, and their directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

18. Governing Law and Dispute Resolution

18.1 Governing Law

These Terms are governed by the laws of Ontario, Canada, without regard to conflict of law principles.

18.2 Arbitration

Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration in Toronto, Ontario, under the rules of the ADR Institute of Canada. You waive any right to participate in a class action.

18.3 Injunctive Relief

Notwithstanding the above, either party may seek injunctive or equitable relief in a court of competent jurisdiction.

19. Changes to Terms

We may modify these Terms at any time. If material changes are made, we will notify you by email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.

20. Miscellaneous

20.1 Entire Agreement

These Terms constitute the entire agreement between you and Indiebooks regarding the Service and supersede prior agreements.

20.2 Assignment

You may not assign these Terms without Indiebooks' written consent. Indiebooks may assign these Terms to an affiliate or successor.

20.3 Force Majeure

Indiebooks shall not be liable for delays or failures caused by events beyond its reasonable control.

20.4 Severability

If any provision is held invalid, the remaining provisions remain in full force.

20.5 Waiver

Failure to enforce any right does not constitute a waiver.

20.6 Notices

Notices may be sent electronically to the email associated with your Account or posted within the Service.
